Executives receive fixed remuneration and variable remuneration consisting of short- and long-term incentive opportunities. Executive remuneration levels are reviewed annually by the Remuneration and Nomination Committee with reference to the remuneration guiding principles and market movements. Fixed remuneration Fixed remuneration consists of base salary and superannuation and is designed to reward for: –– The scope of the executive’s role –– The executive’s skills, experience and qualifications –– Individual performance It is set with reference to comparable roles in similar companies. 2. Variable remuneration Short-Term Incentive (STI) –– The objective of the STI program is to link the achievement of personal Key Performance Indicators (KPI’s) and the Group’s annual operational targets with the remuneration received by the Executives charged with meeting those targets. –– The total potential STI available is set at a level that provides sufficient reward to the executive for exceeding the operational targets and at such a level that the cost to the Group is reasonable in the circumstances. –– STI rewards are assessed annually and are usually paid in cash. Actual STI payments granted to each executive depend on the extent to which specific personal Key Performance Indicators (KPI’s) and annual operational targets set at the beginning of the financial year are met or exceeded. –– CEO and Executives can achieve a maximum of 50% of fixed remuneration as STI.
